SIMPLi “Moved by Motherhood” Challenge
Official Terms & Conditions
NO PURCHASE NECESSARY TO PARTICIPATE OR WIN. A PURCHASE WILL NOT INCREASE CHANCES OF WINNING.
1. Sponsor
The SIMPLi “Moved by Motherhood” Challenge (the “Challenge”) is sponsored by SIMPLi Foods, Inc., a Pennsylvania corporation with its principal place of business in Philadelphia, Pennsylvania (“Sponsor”).
This Challenge is not sponsored, endorsed, administered by, or associated with Strava, Inc. (“Strava”). Strava is used solely as a third-party activity tracking platform.
2. Eligibility
The Challenge is open only to legal residents of California, New York, and Florida who are eighteen (18) years of age or older at the time of participation and who maintain an active Strava account in good standing.
Employees, officers, directors, agents, contractors, and immediate family members (spouse, parent, child, sibling, and their respective spouses) and household members of Sponsor, Thule Group, Strava, and each of their respective parents, subsidiaries, affiliates, and advertising or promotion agencies are not eligible to win the Grand Prize.
Void where prohibited or restricted by law. The Challenge is subject to all applicable federal, state, and local laws and regulations.
3. Challenge Period
The Challenge will run for three (3) consecutive weeks (the “Challenge Period”). Official start and end dates will be communicated via SIMPLi and/or Strava Challenge materials. Sponsor’s designated timekeeping system shall be the official clock for the Challenge.
4. How to Participate
To successfully complete the Challenge, participants must, during the Challenge Period:

Join the official SIMPLi Strava Club

Log at least thirty (30) minutes per day of walking or running with a stroller

Use Strava’s stroller tag on each eligible activity

Accumulate a total of eleven (11) hours of stroller-tagged activity
Only activities properly recorded, time-stamped, and visible on Strava with the stroller tag during the Challenge Period will count toward completion. Manual entries, altered data, private activities, or activities suspected of manipulation may be disqualified at Sponsor’s sole discretion.
Sponsor is not responsible for inaccurate activity tracking, GPS errors, technical malfunctions, user error, or Strava platform issues.
5. Reward for Completion
Eligible participants who successfully complete the Challenge requirements will receive one (1) free SIMPLi item, redeemable at participating grocery retailers, while supplies last.
The reward has no cash value, is non-transferable, and may not be substituted or redeemed for cash. Sponsor reserves the right to substitute a reward of equal or greater value if necessary.
6. Grand Prize
One (1) eligible Challenge completer will be randomly selected to receive a Grand Prize, which includes:

One (1) Thule running stroller

One (1) year supply of SIMPLi products (specific products and quantities determined by Sponsor in its sole discretion)
The Approximate Retail Value (“ARV”) of the Grand Prize is approximately $1,000 USD; actual value may vary. No substitution, assignment, or cash equivalent is permitted.
Winner is solely responsible for all federal, state, and local taxes associated with receipt or use of the Grand Prize.
7. Winner Selection & Notification
The Grand Prize winner will be selected in a random drawing from all eligible participants who successfully complete the Challenge requirements.
The potential winner will be notified using the contact information associated with their Strava account within a reasonable time following the end of the Challenge Period. Failure to respond within the time specified by Sponsor, failure to complete verification, or failure to comply with these Official Terms & Conditions may result in forfeiture and selection of an alternate winner.
8. Health, Safety & Assumption of Risk
Participation in the Challenge involves physical activity that carries inherent risks, including the risk of serious injury or death. Participants are strongly encouraged to consult a physician before participating.
By participating, entrants voluntarily assume all risks associated with participation and represent that they are physically capable of safely completing the Challenge requirements.
9. Marketing Communications
By participating in the Challenge, entrants expressly consent to receive electronic and other communications from Sponsor, including communications related to Challenge administration, reward fulfillment, promotions, and marketing.
Entrants may opt out of marketing communications at any time by following the unsubscribe instructions provided in such communications. Opting out of marketing communications will not affect receipt of administrative or legally required communications related to the Challenge.
10. User-Generated Content & Social Media Rights
By posting, submitting, or sharing any content related to the Challenge—including but not limited to photographs, videos, captions, comments, or other materials—on social media using any Challenge-related hashtag(s) or by tagging @eatsimpli (collectively, “Content”), entrants grant Sponsor a perpetual, irrevocable, worldwide, royalty-free, fully paid, transferable, and sublicensable license to use, reproduce, modify, adapt, publish, translate, distribute, publicly perform, publicly display, and create derivative works from such Content, in whole or in part, in any media now known or hereafter developed, for any purpose, including but not limited to advertising, marketing, publicity, social media, website content, and paid promotional campaigns, without additional compensation, notice, or approval, except where prohibited by law.
Sponsor is not obligated to use any Content.
Entrants represent and warrant that they own or have obtained all necessary rights, permissions, and consents to grant the foregoing license and that the Content does not infringe upon the rights, privacy, or publicity rights of any third party.
11. General Conditions
Sponsor reserves the right, in its sole discretion, to modify, suspend, or terminate the Challenge if fraud, technical failures, force majeure events, or any other factor beyond Sponsor’s reasonable control impairs the integrity, administration, or fairness of the Challenge.
Sponsor reserves the right to disqualify any individual who tampers with the Challenge, violates these Official Terms & Conditions, or engages in unsportsmanlike, disruptive, or abusive behavior.
12. Release & Limitation of Liability
By participating, entrants agree to release and hold harmless Sponsor, Thule Group, Strava, and each of their respective parents, subsidiaries, affiliates, officers, directors, employees, agents, and representatives from any and all claims, damages, losses, injuries, or liability arising from participation in the Challenge or acceptance, use, or misuse of any reward or prize, whether caused by negligence or otherwise, to the fullest extent permitted by law.
13. Governing Law & Disputes
This Challenge and these Official Terms & Conditions are governed by the laws of the Commonwealth of Pennsylvania, without regard to conflict-of-law principles.
Except where prohibited by law, entrants agree that any disputes arising out of or related to the Challenge shall be resolved individually, without resort to any form of class or collective action, and exclusively in the state or federal courts located in Pennsylvania. Entrants waive any claim for punitive, incidental, or consequential damages.
14. Acceptance of Rules
Participation in the Challenge constitutes entrant’s full and unconditional agreement to these Official Terms & Conditions and Sponsor’s decisions, which are final and binding in all matters related to the Challenge.
